01 · Agreement to Terms

What you're agreeing to.

These Terms of Service (“Terms”) are an agreement between you and Duqo, Inc., a Delaware corporation (“we,” “us,” “our”), which operates Duqo: the app, the website at duqo.app, and the web app (together, the “Service”).

By creating an account or using the Service, you accept these Terms and our Privacy Policy. If you do not accept them, please do not use the Service.

02 · Description of Service

What Duqo does.

Duqo is a task and reminder app with an AI assistant that decides when to follow up with you. It includes:

  • Tasks, routines, and reminders, written in plain language
  • An AI assistant you can talk to about your commitments
  • Reminders timed around your schedule, your habits, and what you have already done
  • Optional calendar integration, so reminders avoid meetings
  • Web and iPhone apps that stay in sync
  • A free plan, and a paid subscription called Duqo Pro
03 · Accounts & Registration

Your account.

You need an account, created with an email address and password, Google Sign-In, or Sign in with Apple. You agree to:

  • Give accurate information when you sign up
  • Keep your login details to yourself
  • Tell us promptly if someone else gets into your account
  • Take responsibility for what happens under your account

You must be at least 13 years old to use Duqo, or at least 16 if you are in Europe. By using the Service you confirm that you meet that requirement.

04 · Acceptable Use

What you can't do.

Duqo is for keeping track of your own work and life. Please do not:

  • Use the Service for anything illegal
  • Try to reach another person's account or data
  • Disrupt or overload the Service
  • Create extra accounts to get around plan limits or a suspension
  • Reverse engineer or extract the source code
  • Use the AI features to produce harmful, abusive, or illegal content
  • Scrape or automate access to the Service
05 · Your Content

Your content stays yours.

You own the tasks, notes, messages, and anything else you put into Duqo (“Your Content”). We claim no ownership of it.

To run the Service we need permission to handle it: you grant us a non-exclusive licence to store, back up, transmit, and display Your Content, and to send the parts of it that are needed to our AI providers so the features work. That licence exists only to provide the Service to you, and it ends when you delete the content or close your account.

Your data is yours. Export everything as a file from Settings, and delete your account from Settings, whenever you want. You do not have to ask us.

You are responsible for what you store in Duqo, and you agree not to store content that is illegal or that infringes someone else's rights.

06 · Subscriptions & Billing

Duqo Pro subscriptions.

Duqo has a permanent free plan and a paid subscription, Duqo Pro, purchased through the iPhone app.

  • App Store billing. Subscriptions are sold through Apple's App Store and billed to your Apple account. The App Store shows the final price for your storefront before you confirm. Payment, invoicing, and refunds are handled by Apple under its terms; refund requests go through Apple, not us.
  • Auto-renewal. Subscriptions renew automatically at the end of each period, monthly or annually, unless you cancel at least 24 hours before the period ends. Your Apple account is charged at renewal.
  • Free trial. Eligible new Pro subscribers can start a 14-day trial where the App Store offers it for their Apple account. Unless you cancel before it ends, it converts to a paid subscription and you are charged.
  • Cancellation. Cancel any time in your App Store subscription settings. Cancelling stops the next charge; you keep Pro until the end of the period you have paid for.
  • After cancellation. Your account moves to the free plan. Your tasks, history, and memories stay where they are and remain readable.
  • Price changes. If we change the price of a subscription, we will tell you first, and the change will only apply to a renewal after you have had the chance to cancel.
  • What Pro includes. Pro features are described on our pricing page. Some of them have usage allowances so a small number of people cannot make the Service unaffordable for everyone; where a feature is metered, the app shows you where you stand.
  • If you are in the EU or UK. You have a legal right to cancel a purchase within 14 days. You may lose that right once you start using a subscription, because it is digital content delivered immediately — but nothing here removes a right you have that cannot be waived.

Apple's role. Apple is not a party to these Terms, but is a third-party beneficiary of them and may enforce them. Apple has no obligation to provide support or maintenance for Duqo, and is not responsible for the Service, for any claim about it, or for any warranty. Your use of the app must also comply with the App Store Terms of Service.

07 · AI Features

Using the AI assistant.

AI runs through most of Duqo: reading what you write, answering you, deciding reminder timing, and remembering what matters. By using it you accept that:

  • Your task content, messages, and any photos you send are processed by third-party AI providers, Anthropic and OpenAI, so the features can work. Our Privacy Policy explains what is sent and what they may keep
  • AI output can be wrong. Suggestions, timings, and replies are provided as they come and are not guaranteed to be accurate or appropriate
  • Duqo is a productivity tool. Do not rely on it for medical, legal, or financial decisions, or anything where being wrong matters a great deal
  • Duqo may store what it learns about your preferences as memories, so it is more useful later
  • You can read, edit, and delete any memory on the Memory screen, and you can turn AI features off in Settings
08 · Calendar Integration

Connecting your calendar.

Connecting a calendar is optional. If you do connect one:

  • Duqo asks for read access to your events, and for permission to manage a dedicated “Duqo” calendar that it creates itself
  • We never change, move, or delete events on your other calendars. Duqo cannot do it even if asked
  • Your schedule is used to time reminders and to give the AI assistant enough context to schedule sensibly
  • You can disconnect in Settings at any time. We stop syncing and delete the calendar data we had synced. To withdraw the permission at Google as well, remove Duqo from your Google account permissions

Our use of Google Calendar data follows the Google API Services User Data Policy, including the Limited Use requirements. For the detail, see our Privacy Policy.

09 · Intellectual Property

What we own.

The Service itself — its design, code, and content, but not Your Content — belongs to us and is protected by intellectual property law. Please do not copy, modify, or redistribute it without our written permission.

The Duqo name and logo are our trademarks. Please do not use them without asking.

10 · Service Availability

We aim for always on.

We work to keep Duqo running, but we cannot promise it never goes down. It may be unavailable because of maintenance, a fault, a problem at one of the companies we depend on for hosting, AI, or notification delivery, or something outside our control.

We may also change or discontinue features as the product develops. If we remove something you rely on, or stop offering the Service altogether, we will give you reasonable notice and time to export your data, and refund any unused part of a subscription you have already paid for.

Important. Duqo is a productivity tool, not a safety-critical system. For anything where a missed reminder really matters — medication, legal or financial deadlines — please keep a second reminder somewhere else.
11 · Termination

Ending your account.

You can delete your account yourself, in Settings, at any time. It takes effect immediately. What happens to your data afterwards is set out in our data retention policy, including the small number of records we keep for accounting and abuse prevention. If you have a subscription, cancel it in the App Store as well — deleting your Duqo account does not cancel Apple billing.

We may suspend or close your account if you break these Terms, if you use the Service abusively, or if the law requires it. Where we can, we will tell you first and give you a chance to export your data.

12 · Limitation of Liability

The fine print.

To the extent the law allows, the Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We are not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including:

  • A reminder that did not arrive, or arrived late
  • Data that was lost, corrupted, or unreachable
  • Outages and downtime
  • AI output that was wrong or inappropriate
  • Problems originating with a service we integrate with, such as a calendar provider or notification delivery
  • Anything you did, or did not do, based on what the Service told you

Where we are liable, our total liability to you is limited to the greater of the amount you paid us in the twelve months before the claim, or fifty US dollars.

Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. If you are a consumer, you keep all the rights your local consumer law gives you, and nothing in these Terms takes them away.

13 · Indemnification

Indemnification.

If someone brings a claim against us because of what you stored in Duqo, how you used the Service, or because you broke these Terms or someone else's rights, you agree to cover the resulting claims, losses, and reasonable legal costs. This does not apply to the extent the claim arises from something we did wrong.

14 · Governing Law

Where disputes get settled.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to any non-waivable consumer right to bring a claim elsewhere, the state courts located in New Castle County, Delaware, and the United States District Court for the District of Delaware have exclusive jurisdiction, and you and we consent to those courts.

If you are a consumer, this does not deprive you of the protection of the law where you live, or of your right to bring a claim in your local courts where that law says you can.

Before anything formal, please email us. Almost everything is faster to fix that way.

15 · Changes to Terms

When this changes.

We update these Terms when the Service or the law changes. If a change materially affects you, we will tell you by email or in the app at least 30 days before it takes effect.

Using the Service after the updated Terms take effect means you accept them. If you do not, you can export your data and delete your account.
